Course Provider Terms

By enrolling as a Course Provider on eUnite's Platform ("Platform"), you ("Course Provider") acknowledge and agree to comply with the following terms and conditions ("Terms"). These Terms include specific provisions relating to the Platform's features that are relevant to Course Providers and are hereby incorporated into our broader Terms and Conditions, which constitute the overarching framework governing Course Provider's use of eUnite's products and services ("Services"). Any capitalized terms used herein but not defined shall have the meanings ascribed to them in the overarching Terms and Conditions.

1. RESPONSIBILITIES OF THE COURSE PROVIDER

1.1 Content Responsibility

As a Course Provider, you are solely responsible for all content uploaded by you, or uploaded by eUnite’s support team under your direction and as requested by you, to the Platform. This encompasses videos, articles, teaching materials, tests, assignments, resources, answers, assessments, and any other materials (collectively referred to as "Submitted Content”).

1.2 Representations and Warranties

By sharing Submitted Content on the Platform, you represent and warrant the following:

  • You will provide and maintain accurate and up-to-date account information.

  • You possess the ownership or necessary legal rights, including licenses, consents, permissions, and authority, to grant eUnite the rights to use your Submitted Content as specified in these Terms and the overarching Terms and Conditions.

  • Your Submitted Content meets industry standards and aligns with instructional best practices.

  • Your Submitted Content does not infringe upon or misuse the intellectual property rights of third parties.

  • You possess the requisite qualifications, credentials, and expertise (including education, training, knowledge, and skills) to deliver the services offered through your Submitted Content and use of the Services.

1.3 Restrictions

You agree not to:

  • Upload, post, or provide any inappropriate, racist, offensive, pornographic, misleading, hateful, sexist, infringing, defamatory, slanderous, or libelous content or information.

  • Engage in unauthorized marketing or solicitation activities through the Services.

  • Utilize the Services for purposes other than providing instructional services to customers.

  • Perform any activity that would require eUnite to obtain licenses from or pay royalties to third parties.

  • Access other accounts without the account owner's explicit permission.

  • Interfere with or disrupt other Course Providers' ability to deliver their services.

  • Misuse the Services or any other eUnite resources.

2. LICENSE TO EUNITE

By submitting your content to eUnite, you grant eUnite certain rights to use and promote it. This includes the right to offer, market, modify, enhance, and adapt your Submitted Content. Furthermore, you grant eUnite permission to use your content in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or eUnite's content. By granting this permission, you waive any rights of privacy, publicity, or similar nature, to the extent allowed by applicable law.

Additionally, you authorize eUnite to sublicense these rights to third parties, including direct customers and other entities such as resellers, distributors, affiliate sites, deal sites, and third-party platforms engaged in paid advertising. eUnite's right to use the Submitted Content for marketing purposes will persist even after termination.

You retain the right to remove part or all of your Submitted Content from the Services at any time, unless otherwise agreed upon. In such cases, eUnite's right to sublicense the content will terminate for new users 60 days after the removal date. However, rights granted to customers before the removal will continue in accordance with their licenses, including any grants of lifetime access. eUnite may retain and utilize portions of your Submitted Content for quality control and operational purposes related to the Services.

3. NON-DISPARAGEMENT

3.1 Non-Disparagement Policies

Your access to the Services is contingent upon eUnite's approval, which is granted or denied at our sole discretion. We reserve the right to remove content, withhold payments, or deactivate Course Providers at any time and without prior notice, under the following circumstances:

  • Failure of a Course Provider or their Submitted Content to comply with our policies or legal terms.<

  • Content that falls short of our quality standards or negatively impacts the customer experience.

  • Actions taken by a Course Provider that may result in negative publicity, contempt, scandal, or ridicule for eUnite.

  • Involvement of a Course Provider with a marketer or business partner who violates eUnite's policies.

  • Improper use of eUnite's Services by a Course Provider, including engaging in unfair competition or promoting off-site businesses in violation of eUnite's policies.

  • Any other reasons deemed appropriate by eUnite, in its sole discretion.

3.2 Customer Relationship and Data Use

Due to the absence of a direct contractual link between Course Providers and customers, you may only obtain customer information through the Services. You are obligated to use this data solely for the purpose of delivering your services to customers on the Platform. Soliciting additional personal information or retaining customer data outside the Platform is strictly prohibited. Moreover, you agree to indemnify eUnite against any claims arising from your use of customer data.

3.3 Anti-Piracy Measures

To protect your content against unauthorized use, we employ anti-piracy measures, including notice and takedown procedures as stipulated in relevant copyright laws such as the Digital Millennium Copyright Act. We also take other actions to safeguard your rights. You authorize eUnite to issue notices on your behalf to protect your copyright interests.

4. PRICING

4.1 Setting Prices

When creating Submitted Content on the Platform, you will have the option to establish a base price ("Base Price") from a range of available price tiers, or provide the Submitted Content for free.

In cases where a customer purchases in a foreign currency, we will convert the relevant Base Price into the customer's currency using eUnite's system-wide foreign currency conversion rate. This rate is periodically established and recorded in a table referred to as the Price Tier Matrix ("Price Tier Matrix"), which contains corresponding price tiers for different currencies. It is important to note that the fixed nature of the Price Tier Matrix may not reflect the current market rate at the time of the transaction. We retain the right to update the Price Tier Matrix as needed.

When you share your Submitted Content on the Platform, you grant us the right to disseminate it, at no cost, in connection with adapting, modifying, marketing, demonstrating, delivering, and selling the Services, to our employees, selected partners, and in cases where we need to restore access to accounts that have previously purchased your Submitted Content. Please be aware that you will not receive compensation under these circumstances.

4.2 Transaction Taxes

If a customer makes a purchase in a jurisdiction where eUnite is required by law to remit national, state, local sales, use, value-added taxes (VAT), or similar transaction taxes ("Transaction Taxes"), we will collect and remit those Transaction Taxes to the relevant tax authorities. We may adjust the sale price at our discretion to account for these taxes.

5. PAYMENTS

5.1 Revenue Sharing

Upon a customer's purchase of your Submitted Content, we calculate the gross amount ("Gross Amount") as the actual sum received from the customer. From this Gross Amount, we may deduct various expenses and deductions, including Transaction Taxes and any payments to third parties associated with the sale. This calculation yields the net amount ("Net Amount") of the sale.

You will receive a revenue share equivalent to seventy percent (70%) of the Net Amount, subject to applicable deductions. Should we decide to modify this payment rate, we will provide you with a 30-day notice through prominent means, such as email or notice on our Services.

5.2 Course Provider Coupons and Referral Links

Through the eUnite platform, you can generate coupon codes and referral links to offer discounts or free access to specific items of your Submitted Content, as allowed by the Services. However, please note that these coupon codes and referral links are subject to specific limitations. Selling them on third-party websites or offering them in exchange for compensation is strictly prohibited. They are intended for use exclusively within the Services and their designated functionalities.

5.3 Receiving Payments

Payments will be dispersed via active and valid PayPal, Credit Card, or Automated Clearing House (ACH) information. Please keep your linked email address and required payment information up-to-date. Additionally, you must provide any necessary identification details or tax documentation to facilitate the payment process for owed amounts. As required by law, we may withhold applicable taxes from your payments, including a 3% withholding tax for Course Providers with billing addresses in Thailand. Failure to furnish the required information may result in payment withholding or other penalties.

Payments will be issued within 45 days following the end of the month in which we receive the fee for a course. This will be subject to the applicable revenue share model and only if your payout request surpasses the minimum payout threshold of $20.00 USD. We retain the right to withhold disbursement of funds in cases of confirmed fraud, intellectual property rights violations, or other legal breaches.

5.4 Payment Processor Errors

eUnite shall not be held responsible for any system failures or connectivity issues of third-party payment processors such as PayPal, Payoneer, or Course Providers’ financial institutions ("Payment Processors"), which may result in the failure to transmit Course Provider transactions within the required timeframes, unless such failure stems from eUnite's negligence.

eUnite disclaims any responsibility for claims, damages, fines, losses, or expenses arising from errors, omissions, negligence, or system failures of Payment Processors.

eUnite will collaborate in good faith with Course Providers to address transactions disrupted by Payment Processor errors.

6. TRADEMARKS

As a published Course Provider, you are granted permission to use our trademarks under the following terms:

You may:

  • Use only the trademark images provided by us, adhering to our published guidelines.

  • Use our trademarks solely to promote and sell your Submitted Content available on the Services or to indicate your association with the Services.

  • Comply promptly with any requests from us to cease using our trademarks.

You must not:

  • Use our trademarks in a misleading or disparaging manner.

  • Employ our trademarks in a way that implies our endorsement, sponsorship, or approval of your Submitted Content or services.

  • Use our trademarks in connection with obscene, indecent, or unlawful topics or materials or in violation of applicable laws.

7. ACCOUNT DELETION

Efforts will be made to ensure the settlement of any pending scheduled payments owed to you before your account is deleted. Note that even after account deletion, customers who have already purchased or enrolled in your Submitted Content may continue to access your name and content for the agreed-upon duration. Deleting your account will not affect access for customers who have already enrolled in and purchased your Submitted Content.

8. MISCELLANEOUS LEGAL TERMS

8.1 Updates to These Terms

These Terms may be periodically revised to enhance clarity or introduce new practices, particularly in relation to new features. eUnite retains the sole right to modify and update these Terms at any time.

In the case of significant changes to these Terms, we will provide notice through prominent means, such as sending an email to your linked address or posting a notice on our Services. The updated Terms will become effective upon posting, unless otherwise indicated.

Continued use of our Services after the effective date of changes signifies your acceptance of the revised Terms, which will supersede all prior versions.

8.2 Translations

Any translations of these Terms provided in languages other than English are for convenience purposes only. In the event of any discrepancy between the English version and any translated version, the English version shall prevail.

8.3 Relationship Between Parties

Both eUnite and Course Provider acknowledge that no joint venture, partnership, employment, contractor, or agency relationship exists between them. Interactions are governed solely by the Terms and do not establish any other formal relationship.

8.4 Survival

The following sections will remain in effect even after the termination of these Terms:

  • Section 2 (License to eUnite)

  • Section 3.2 (Customer Relationship and Data Use)

  • Section 5.3 (Receiving Payments)

  • Section 7 (Account Deletion)

  • Section 8 (Miscellaneous Legal Terms)

These sections will continue to apply and govern the relationship between Course Provider and eUnite beyond the conclusion of these Terms.
